ARTICLE II - VOTING
Section 1 - Rights of Members
Each paying membership is entitled to at least one vote. Up to two individuals may represent a family or business, and each of these two individuals may cast one vote. The right of a member to vote and all other rights, title and interest in or to the Association shall cease on termination of membership. A member must be present at the meeting at the time the vote is called in order to vote. No member may vote by proxy or absentee ballot.
Section 2- Majority
Any matters, including elections, that come before the membership may be adopted at any Annual or Special Meeting of the Association by two-thirds affirmative vote of the members present and entitled to vote, after a quorum has been duly constituted.

ARTICLE III - MEMBERSHIP MEETINGS

Section 1-Regular Meetings

Regular Meetings conducted by the Association are open to the membership and shall be held at such time and place as determined by the Board of Directors, stated in the notice of the meeting; and consist of four general types:

Annual Meeting - conducted in March of each year, for the purpose of discussion of projects and implementing Association policy for the next calendar year, to include presentation of the annual budget for membership approval, election of Officers and Directors-at-Large, and to conduct necessary business brought before the Association.

Board of Directors Meetings - conducted at least quarterly to address the Association’s business and to formulate policy and matters to be addressed at the Annual Meeting.

Committee Meetings – conducted at least quarterly to address the committee matters and formulate an action plan to be presented to the Board on at least a semi-annual basis.

Area Coordinator Meetings - conducted to review grassroots efforts related to membership, to obtain resident and membership feedback on activities related to Lake Martin, and disseminate information.

Proposed dates for Board of Directors and Committee meetings shall be presented at the Annual Meeting. The Board of Directors and Committee meetings may be scheduled separately or as a combined meeting.
Section 2 - Special Meetings
Special Meetings of the Association may be called at any time by the President, or by two-thirds affirmative vote of the Board of Directors. The agenda of the Special Meeting may include any items properly brought before an Annual Meeting. Only those matters described in the notice shall be discussed in the meeting.

Section 3 - Notification
The Annual Meeting or any Special Meeting shall be preceded by a notice to members of the Association, as identified in the Association database. Notice may be by email, publication, public notice, telephone, U.S. Mail, personal notice, a combination of the above, or any manner reasonably calculated to ensure the presence of a quorum at the meeting. Notification will be given at least 15 days, but no more than 50 days prior to the Annual Meeting and at least 15 days, but not more than 50 days prior to a Special Meeting. The notice of a Special Meeting shall include a description of the matter or matters for which the meeting was called.
Section 4 – Quorum

For the Annual or Special Meetings, individuals representing ten percent of the total number of memberships of the Association shall constitute a quorum

These have been cut and pasted from lakemartin.org. I am no lawyer, but I would like for someone to explain to me where this gives the Board such broad lattitude to write letters to government officials on behalf of the "memebership" without it have been brought before the membership for a vote. I have read it twice, and I come away with the conclusion that it in fact does the oppisite. I certainly don't see where it gives the board carte blanche to write letters purporting to represent 'all stakeholders'.

I think Uncle Sam said it best, the interests of the few being conducted using the numbers and the finances of the many.
